TERMS OF USE AND CONDITIONS OF SALE

These Terms of Use and Conditions of Sale (“Terms”) constitute a legally binding agreement between you and Alpine Aminos LLC (“Alpine Aminos,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of AlpineAminos.com and any associated pages, customer accounts, features, content, communications, products, and services collectively referred to as the “Site.”

These Terms also govern every order placed with Alpine Aminos, whether placed through the Site or through another method approved by Alpine Aminos.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING THE SITE, CREATING AN ACCOUNT, OR PURCHASING A PRODUCT.

By accessing or using the Site, creating an account, submitting information, checking a box indicating acceptance, or placing an order, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Site, create an account, or purchase products from Alpine Aminos.

Alpine Aminos is a supplier of materials intended exclusively for qualified laboratory research and analytical applications. Alpine Aminos is not a healthcare provider, pharmacy, outsourcing facility, compounding pharmacy, medical practice, veterinary practice, clinical laboratory, or manufacturer of products for human or veterinary use.

2. RESEARCH USE ONLY

All products offered by Alpine Aminos are sold strictly for Research Use Only (“RUO”).

Products are intended solely for lawful in vitro laboratory research, analytical testing, method development, and other legitimate nonclinical research activities conducted by qualified researchers in an appropriate research environment.

Products are not intended for, and must not be used for:

Human consumption or administration;
Veterinary or animal administration;
Clinical use;
Therapeutic use;
Diagnostic use;
Disease prevention, treatment, mitigation, or cure;
Medical or veterinary experimentation;
Compounding or incorporation into a compounded preparation;
Food, beverage, dietary supplement, drug, cosmetic, or personal-care use;
Household use;
Self-experimentation;
Administration to another person or animal;
Resale, redistribution, relabeling, repackaging, or diversion; or
Any purpose prohibited by applicable law.

Products sold by Alpine Aminos have not been evaluated or approved by the United States Food and Drug Administration or any other regulatory authority for human consumption, veterinary use, clinical use, diagnostic use, therapeutic use, or any other regulated medical purpose.

The appearance of a product on the Site does not represent or imply that the product is safe, appropriate, approved, or suitable for human or veterinary use.

3. PURCHASER ELIGIBILITY

You may purchase products from Alpine Aminos only if all of the following are true:

You are at least twenty-one years old;
You are legally capable of entering into a binding agreement;
You are a qualified researcher or are purchasing on behalf of a legitimate laboratory, research organization, educational institution, or other qualified research operation;
You possess sufficient education, training, experience, facilities, equipment, and controls to receive, store, handle, document, use, and dispose of RUO materials appropriately;
You are purchasing solely for lawful in vitro research or analytical purposes;
You will not use, administer, distribute, resell, or divert a product for human or veterinary use; and
Your purchase, possession, handling, research, and disposal of the product comply with all applicable laws, regulations, institutional requirements, and safety standards.

Alpine Aminos does not sell products to the general public for personal use.

Merely stating that a purchase is for “research” does not establish eligibility. Alpine Aminos may determine, in its sole but reasonable discretion, whether a purchaser or proposed use appears consistent with these Terms.

4. PURCHASER REPRESENTATIONS AND ATTESTATIONS

Each time you create an account or place an order, you represent, warrant, acknowledge, and agree that:

You are a qualified researcher aged twenty-one or older;
You will use all products solely for lawful in vitro laboratory research or analytical applications;
You understand that the products are Research Use Only;
You understand that the products are not for human or veterinary use;
You will not consume, administer, inject, ingest, inhale, apply, implant, or otherwise introduce a product into any person or animal;
You will not provide a product to any person who intends to use it on or in a person or animal;
You will not resell, redistribute, relabel, repackage, transfer, or divert a product;
You will maintain appropriate access restrictions, records, storage conditions, handling procedures, and disposal controls;
You have independently determined that you may lawfully purchase, possess, handle, and use the product;
You are not relying on Alpine Aminos for medical, veterinary, legal, regulatory, or research-design advice;
You will not represent an Alpine Aminos product as a drug, medicine, treatment, supplement, cosmetic, food, or product intended for human or veterinary use; and
All information you provide to Alpine Aminos is complete, current, and accurate.

These representations are material conditions of every sale.

5. VERIFICATION AND ADDITIONAL INFORMATION

Alpine Aminos may request information reasonably necessary to verify:

Your identity and age;
Your researcher qualifications;
Your organization or institutional affiliation;
The nature of the research environment;
The general intended research category;
Your authority to purchase on behalf of an organization;
The accuracy of billing or shipping information;
Compliance with these Terms; or
The legitimacy of a transaction.

Alpine Aminos may delay, decline, cancel, restrict, or refund an order if requested information is not provided or if the information provided is incomplete, inconsistent, unverifiable, or reasonably raises compliance, fraud, safety, diversion, or misuse concerns.

Verification by Alpine Aminos does not constitute certification, licensing, endorsement, or approval of the purchaser, the purchaser’s facility, or any proposed research.

6. NO MEDICAL, VETERINARY, OR PROFESSIONAL ADVICE

Nothing on the Site constitutes medical, veterinary, pharmaceutical, clinical, diagnostic, therapeutic, legal, regulatory, or other professional advice.

Alpine Aminos does not provide:

Dosing or administration instructions;
Reconstitution instructions for human or veterinary administration;
Treatment recommendations;
Medical or veterinary protocols;
Individualized health information;
Advice regarding self-experimentation;
Advice regarding the diagnosis, treatment, prevention, or mitigation of disease;
Instructions for compounding; or
Representations regarding effects in humans or animals.

Scientific, educational, historical, or technical information presented on the Site is provided for general informational purposes in the context of lawful research. It must not be interpreted as encouraging, instructing, or authorizing human or veterinary use.

You are responsible for consulting appropriately qualified professionals regarding legal, regulatory, institutional, laboratory, and occupational-safety requirements applicable to your activities.

7. ACCOUNTS AND ACCOUNT SECURITY

Certain Site features or purchases may require an account.

You agree to:

Provide accurate and complete account information;
Keep your information current;
Maintain the confidentiality of your login credentials;
Prevent unauthorized access to your account;
Restrict account access to qualified and authorized individuals;
Notify Alpine Aminos promptly of suspected unauthorized use; and
Accept responsibility for activity conducted through your account to the extent permitted by law.

You may not create an account using false information, impersonate another person or organization, conceal the actual purchaser, or create multiple accounts to bypass restrictions.

Alpine Aminos may suspend, restrict, or terminate an account where it reasonably believes that:

Information is false or misleading;
The account has been compromised;
A user has violated these Terms;
Products may be misused or diverted;
Fraudulent or abusive activity has occurred;
Payment disputes or excessive chargebacks have occurred; or
Continued access creates legal, regulatory, reputational, security, or safety concerns.

Termination does not affect obligations arising before termination.

8. ORDER SUBMISSION AND ACCEPTANCE

Submitting an order is an offer to purchase products under these Terms. An automated order acknowledgment or payment confirmation does not necessarily constitute final acceptance of the order.

Alpine Aminos may accept or reject an order in whole or in part. Final acceptance generally occurs when the order is approved for fulfillment or shipped.

Alpine Aminos reserves the right, to the extent permitted by law, to:

Refuse or cancel an order;
Limit quantities;
Restrict purchases by person, account, household, organization, address, payment method, or geographic location;
Require additional verification;
Correct pricing or product-description errors;
Cancel duplicate or suspicious transactions;
Decline orders associated with misuse, diversion, fraud, payment disputes, or policy violations; and
Discontinue products without notice.

If Alpine Aminos cancels an order after receiving cleared payment, Alpine Aminos will generally return the applicable amount through the original payment method or another reasonable method. Cancellation of an order does not obligate Alpine Aminos to provide the product.

9. PRODUCT AVAILABILITY AND QUANTITY LIMITS

All products are subject to availability. Inventory information displayed on the Site may not always reflect real-time availability.

A product may become unavailable after an order is submitted because of inventory discrepancies, quality review, testing delays, product holds, overselling, damage, supplier interruptions, compliance concerns, or other circumstances.

Alpine Aminos does not guarantee continued availability of any product, batch, quantity, concentration, packaging format, promotional price, or analytical document.

Alpine Aminos may establish purchase limits and may cancel or reduce quantities that exceed those limits.

10. PRODUCT INFORMATION

Alpine Aminos attempts to present product names, descriptions, quantities, images, batch information, and prices accurately. However, product information may contain typographical, technical, photographic, formatting, or other errors.

Product images are illustrative. Actual packaging, vial appearance, labeling, closures, color, presentation, or other nonmaterial characteristics may vary.

Minor packaging or labeling variations do not necessarily indicate that a product is incorrect, defective, or from a different batch.

If a material error affects an order, Alpine Aminos may correct the error, contact the purchaser, cancel the affected item, or provide another appropriate remedy.

11. PRICES, PROMOTIONS, AND TAXES

Prices are stated in United States dollars unless otherwise indicated. Prices may change without notice before an order is submitted.

Alpine Aminos may correct pricing errors even after an order is submitted. If the correct price is higher than the displayed price, Alpine Aminos may contact you for authorization or cancel the affected item.

Promotions, discounts, payment incentives, coupon codes, free-shipping offers, and customer-only offers:

May be subject to separate terms;
May be changed or withdrawn before an order is submitted;
May have eligibility, product, geographic, quantity, account, or expiration restrictions;
May not be combined unless expressly stated;
Have no cash value;
May not be transferred, duplicated, sold, or redeemed through misuse; and
May be canceled where fraud, manipulation, technical error, or policy abuse is suspected.

You are responsible for applicable taxes, duties, assessments, and governmental charges, except taxes imposed directly on Alpine Aminos.

Alpine Aminos may calculate, collect, or remit taxes as required by applicable law. A failure to collect tax at checkout does not necessarily eliminate the purchaser’s responsibility for any legally applicable tax.

12. PAYMENT

You authorize Alpine Aminos and its payment-service providers to charge the payment method selected for the full amount shown at checkout, subject to approved discounts or adjustments.

Available payment methods may change without notice. Different payment methods may be processed by different third-party providers and may be subject to additional provider terms.

Where Alpine Aminos offers an incentive for using a particular payment method, that incentive applies only when the stated conditions are satisfied and the payment is properly completed.

You represent that:

You are authorized to use the selected payment method;
Payment information is accurate;
The transaction is lawful;
Funds are not derived from fraudulent or unlawful activity; and
You will not initiate an improper chargeback or payment reversal.

Payments made through Zelle, Venmo, Cash App, cryptocurrency, bank transfer, or another manual method must include sufficient information for Alpine Aminos to identify and reconcile the order.

Manual payment instructions must not be interpreted as a request to mischaracterize a transaction, evade a provider’s rules, or conceal the nature of a purchase.

Alpine Aminos may cancel an unpaid order after a reasonable period.

13. FRAUD PREVENTION AND CHARGEBACKS

Alpine Aminos may use internal controls and third-party services to evaluate transactions for fraud, unauthorized payment activity, identity inconsistencies, abuse, diversion, or excessive risk.

If you do not recognize a transaction or believe a transaction is incorrect, you should contact Alpine Aminos promptly before initiating a chargeback when reasonably possible.

You may not initiate a chargeback for:

A product that was accurately described and properly delivered;
Buyer’s remorse;
A refusal to comply with the return or claims process;
Dissatisfaction based on an unauthorized or prohibited use;
A disagreement with these Terms after accepting them; or
An attempt to retain both the product and the payment.

Nothing in this section limits rights that cannot lawfully be waived.

Alpine Aminos may suspend accounts, decline future orders, preserve records, dispute improper chargebacks, and pursue lawful recovery of amounts owed.

14. SHIPPING TERRITORY

Alpine Aminos presently ships only to eligible addresses within the United States. Alpine Aminos does not presently offer international shipping.

Certain products, destinations, carriers, territories, states, institutions, or address types may be excluded.

Free-shipping offers apply only where expressly stated. Unless a promotion specifically says otherwise, free shipping at the stated qualifying threshold applies only to eligible destinations within the contiguous Lower 48 United States. Orders to other eligible United States destinations may incur additional shipping charges.

Alpine Aminos may modify available shipping destinations and methods without notice before an order is placed.

15. SHIPPING INFORMATION AND ADDRESS ACCURACY

You are responsible for providing a complete, accurate, secure, and deliverable shipping address.

Alpine Aminos is not responsible for delay, loss, additional expense, or nondelivery resulting from:

An incomplete or incorrect address;
An address change requested after fulfillment begins;
An inaccessible or unsecured delivery location;
A recipient’s failure to retrieve a package;
A carrier’s inability to access the property;
A package being refused;
An unauthorized address supplied through a compromised account; or
Restrictions imposed by a facility, institution, mailroom, carrier, or governmental authority.

Contact Alpine Aminos immediately after discovering an address error. Alpine Aminos cannot guarantee that an address can be changed after an order enters fulfillment.

Additional shipping, interception, reshipment, or return-to-sender costs caused by incorrect purchaser information may be charged to the purchaser.

16. SHIPPING TIMES AND DELIVERY ESTIMATES

Processing, shipping, and delivery times are estimates and are not guarantees.

Delays may result from:

Order verification;
Payment review;
Quality-control review;
Inventory discrepancies;
Weather;
Natural disasters;
Carrier delays;
Transportation interruptions;
Holidays;
Labor disruptions;
Government action;
Security incidents;
Public-health emergencies;
Incorrect addresses; or
Circumstances beyond Alpine Aminos’ reasonable control.

A shipping notification or tracking number does not guarantee that tracking information will update immediately.

Alpine Aminos is not liable for consequential losses caused by a delayed shipment.

17. DELIVERY, RISK OF LOSS, AND SHIPPING CLAIMS

To the extent permitted by applicable law, responsibility for the package transfers to the purchaser when the carrier records delivery at the shipping address supplied with the order.

This provision does not eliminate Alpine Aminos’ responsibility for its own fulfillment errors or obligations that cannot lawfully be waived.

You must inspect the package promptly upon delivery.

Claims involving:

Missing items;
Incorrect products;
Visibly damaged products;
Broken or compromised containers;
Leaking contents;
Material labeling errors; or
Other apparent fulfillment problems

must be submitted to Alpine Aminos within three calendar days after carrier-recorded delivery, unless applicable law requires a longer period.

A claim should include:

The order number;
A description of the issue;
Clear photographs of the external packaging;
Clear photographs of the shipping label;
Clear photographs of the product and packaging;
The lot or batch information when visible; and
Any other information reasonably necessary to evaluate the claim.

Do not discard the product, vial, label, protective packaging, or shipping container until Alpine Aminos completes its review.

Failure to provide timely notice or preserve relevant evidence may prevent Alpine Aminos from verifying or resolving the claim.

18. LOST, STOLEN, OR MISDELIVERED PACKAGES

If tracking shows that a package has not been delivered within a reasonable period, contact Alpine Aminos so that a carrier inquiry may be considered.

If tracking shows delivery but the package cannot be located, you should promptly:

Check the delivery location;
Ask household members, staff, neighbors, reception personnel, or mailroom personnel;
Review available delivery photographs or carrier notices;
Contact the carrier; and
Notify Alpine Aminos.

Alpine Aminos does not guarantee replacement or reimbursement for packages that the carrier confirms were delivered to the address provided.

Alpine Aminos may evaluate delivery disputes individually and may require a carrier claim, written statement, police report, identity verification, or other supporting information before offering a remedy.

19. STORAGE AND ENVIRONMENTAL CONDITIONS DURING SHIPPING

Purchasers are responsible for understanding the characteristics of the materials they order and for establishing appropriate receiving and storage procedures.

Unless expressly stated otherwise in writing, Alpine Aminos does not guarantee uninterrupted temperature-controlled transportation.

Temporary environmental exposure during ordinary carrier transit does not automatically establish that a product is defective, compromised, or unsuitable for its intended research purpose.

A purchaser claiming environmental damage must provide objective information sufficient for Alpine Aminos to evaluate the claim.

Once delivered, the purchaser is responsible for prompt retrieval, secure storage, access control, handling, and preservation of the product.

20. FINAL SALES; RETURNS AND CANCELLATIONS

Because Alpine Aminos supplies specialized RUO materials subject to chain-of-custody, storage, handling, contamination, tampering, and integrity concerns, products are generally final sale and nonreturnable after shipment.

Alpine Aminos cannot place a returned research material back into saleable inventory after it has left Alpine Aminos’ control.

An order-cancellation request must be submitted before fulfillment begins. Cancellation is not guaranteed. Once an order has entered processing, been packed, or been transferred to a carrier, it ordinarily cannot be canceled.

Alpine Aminos does not provide refunds or replacements for:

Buyer’s remorse;
A change in research plans;
Accidental ordering;
Failure to review product information;
Failure to apply an available coupon;
Disagreement with a properly disclosed price;
An unauthorized or prohibited intended use;
Improper storage or handling after delivery;
Institutional refusal of a properly addressed shipment;
A delayed shipment that remains deliverable;
Cosmetic packaging variations that do not materially affect the product;
A product disposed of before a claim could be reviewed; or
A product returned without authorization.

21. FULFILLMENT ERRORS, DAMAGE, AND REMEDIES

The final-sale rule does not prevent Alpine Aminos from addressing a verified fulfillment error or a product that arrives materially damaged.

If Alpine Aminos confirms that it:

Shipped the wrong product;
Shipped the wrong quantity;
Omitted a purchased item;
Shipped a materially damaged product; or
Made another material fulfillment error,

Alpine Aminos may, at its discretion and subject to applicable law:

Replace the affected product;
Reship the missing or correct item;
Issue store credit;
Refund the amount paid for the affected item; or
Provide another reasonable remedy.

Unless required by law, Alpine Aminos is not obligated to provide more than the amount paid for the affected product and applicable shipping charges directly attributable to the verified error.

Alpine Aminos may require return, disposal, or preservation of an affected product according to written instructions.

Do not send any product back without written authorization. Unauthorized returns may be refused or destroyed and may not qualify for reimbursement.

The separate Refund and Returns Policy published on the Site is incorporated into these Terms. If there is a conflict, these Terms control unless the separate policy expressly states otherwise.

22. INDEPENDENT ANALYTICAL TESTING

Alpine Aminos uses independent third-party analytical testing and internal review processes to support product-release decisions where applicable.

Testing may include identity, purity, net content, endotoxin, microbial screening, heavy-metal screening, or other analyses. The testing panel may vary by product, batch, laboratory, method, sample availability, and release requirements.

Analytical testing:

Examines the sample or samples submitted for analysis;
Is performed using the laboratory’s stated methods, instruments, procedures, specifications, tolerances, and reporting limits;
Is subject to sampling limitations, measurement uncertainty, method limitations, detection limits, and laboratory variability;
Reflects conditions and findings at the time of analysis;
Does not establish absolute absence of every possible contaminant, impurity, microorganism, metal, residual solvent, or unidentified substance;
Does not guarantee that every unit in a batch is chemically identical;
Does not establish suitability for human or veterinary use;
Does not constitute medical, clinical, pharmaceutical, or regulatory approval; and
Does not eliminate the purchaser’s responsibility to conduct appropriate incoming inspection, qualification, and testing for the purchaser’s specific research.

References to independent testing do not mean that the testing laboratory endorses Alpine Aminos, the Site, a product, or any use of a product.

23. CERTIFICATES OF ANALYSIS

A Certificate of Analysis or other analytical report generally relates to the identified batch, lot, sample, or submitted material described in that document.

Purchasers are responsible for matching available analytical documentation to:

The product name;
Lot or batch identifier;
Test date;
Sample identifier;
Analytical method; and
Other relevant document information.

A COA is not a warranty that:

Every unit in a batch will produce identical results;
The product will meet every purchaser-specific specification;
No analyte is present below a method’s reporting or detection threshold;
The product is sterile unless the stated test and result specifically support that conclusion;
The product is appropriate for a particular protocol or research objective; or
The product is safe or suitable for human or veterinary use.

Terms such as “pass,” “negative,” “not detected,” “below reporting limit,” or similar language must be interpreted according to the laboratory’s method, specification, reporting threshold, and report.

Alpine Aminos may update, replace, correct, withdraw, or supplement analytical documentation when new information becomes available or an error is identified.

24. PRODUCT HOLDS, INVESTIGATIONS, AND WITHDRAWALS

Alpine Aminos may place a product or batch on hold, stop fulfillment, request preservation of materials, contact affected purchasers, withdraw a product, or take other reasonable action when:

New analytical information becomes available;
A discrepancy or suspected discrepancy is identified;
A laboratory report is corrected;
A packaging or labeling issue is discovered;
A supplier, laboratory, carrier, or governmental authority raises a concern; or
Alpine Aminos otherwise determines that further review is appropriate.

A hold, investigation, or withdrawal does not necessarily establish that a product is defective or unsafe.

Purchasers agree to cooperate reasonably with product investigations and to follow written hold, preservation, return, or disposal instructions.

Any remedy associated with a product hold or withdrawal will be determined according to the circumstances, applicable law, and written instructions issued by Alpine Aminos.

25. PURCHASER HANDLING, SECURITY, AND DISPOSAL

After delivery, the purchaser assumes responsibility for:

Secure receipt;
Restricted access;
Inventory control;
Appropriate storage;
Prevention of unauthorized handling;
Laboratory safety procedures;
Personnel training;
Research documentation;
Compliance with institutional requirements;
Contamination control;
Spill and incident response; and
Lawful disposal.

Products must be stored where children, unauthorized individuals, patients, consumers, and animals cannot access them.

The purchaser must investigate and report suspected theft, diversion, unauthorized access, loss, or misuse as appropriate under applicable law and institutional procedures.

Alpine Aminos does not provide hazardous-material, occupational-safety, environmental, or disposal advice for every possible setting. The purchaser is responsible for determining applicable requirements.

26. PROHIBITED CONDUCT

You may not:

Use the Site or a product for an unlawful purpose;
Purchase a product for human or veterinary use;
Encourage or facilitate human or veterinary use;
Seek dosing, administration, self-experimentation, or treatment guidance from Alpine Aminos;
Make false statements concerning your age, identity, qualifications, organization, or intended use;
Purchase on behalf of an undisclosed third party;
Resell, redistribute, relabel, repackage, or divert a product;
Represent yourself as an agent, distributor, affiliate, partner, employee, or authorized representative of Alpine Aminos without written authorization;
Use Alpine Aminos content to market products for human or veterinary use;
Scrape, harvest, copy, or systematically extract Site data without authorization;
Interfere with Site operation or security;
Introduce malware or malicious code;
Attempt unauthorized access to accounts, systems, or data;
Circumvent purchase limits, eligibility requirements, or verification procedures;
Engage in payment fraud or promotion abuse;
Submit false reviews, false claims, or manipulated evidence;
Use automated purchasing tools without authorization; or
Violate another person’s legal rights.

27. COMMUNICATIONS

By providing contact information, you authorize Alpine Aminos to send transactional and service-related communications concerning:

Your account;
Order verification;
Payment;
Fulfillment;
Shipping;
Delivery;
Customer service;
Product documentation;
Security;
Policy changes;
Product holds or withdrawals; and
Other matters related to your transactions or use of the Site.

Transactional communications are not marketing communications and may be necessary to complete or administer an order.

Marketing email consent is separate from accepting these Terms or purchasing a product. Where required, Alpine Aminos will send marketing communications only with the appropriate consent. You may unsubscribe from marketing emails using the unsubscribe mechanism provided, but you may continue to receive necessary transactional or legal communications.

You agree that electronic records, notices, disclosures, and communications satisfy legal requirements that such communications be in writing to the extent permitted by law.

28. REVIEWS, FEEDBACK, AND USER SUBMISSIONS

If you submit a review, testimonial, suggestion, photograph, comment, or other content, you represent that:

The submission is accurate and based on your genuine experience;
You own or have permission to submit it;
It does not violate another person’s rights;
It does not contain confidential or unlawful information;
It does not promote human or veterinary use;
It does not contain dosing, administration, treatment, or medical claims; and
It complies with these Terms.

You grant Alpine Aminos a nonexclusive, worldwide, royalty-free license to use, reproduce, edit, publish, display, and distribute the submission for lawful business purposes, subject to our Privacy Policy.

Alpine Aminos may moderate, decline, edit, or remove submissions that violate these Terms, create compliance concerns, contain prohibited claims, disclose personal information, or are otherwise inappropriate.

Alpine Aminos is not obligated to publish any submission.

29. INTELLECTUAL PROPERTY

You may not, without written authorization:

Modify or create derivative commercial materials;

Third-party laboratory reports, trademarks, publications, and other third-party materials remain subject to the rights of their respective owners. Publication of third-party documentation does not transfer ownership to Alpine Aminos or the purchaser.

30. THIRD-PARTY SERVICES AND LINKS

The Site may use or link to third-party services, including payment processors, carriers, tax services, hosting providers, analytics services, email platforms, security services, embedded content, and external websites.

Alpine Aminos does not control every third-party service and is not responsible for the availability, content, security, privacy practices, accuracy, or performance of an unaffiliated third party.

A link or integration does not necessarily constitute endorsement.

31. SITE AVAILABILITY AND MODIFICATIONS

FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
QUIET ENJOYMENT;

COMPLETENESS; AND
UNINTERRUPTED OR ERROR-FREE OPERATION.

ALPINE AMINOS DOES NOT WARRANT THAT:

A PRODUCT WILL BE SUITABLE FOR A PURCHASER’S PARTICULAR RESEARCH;
EVERY UNIT WILL PRODUCE IDENTICAL ANALYTICAL RESULTS;
EVERY POSSIBLE ANALYTE OR CONTAMINANT HAS BEEN TESTED;
A COA WILL SATISFY A PURCHASER’S INSTITUTIONAL OR REGULATORY REQUIREMENTS;
THE SITE WILL BE AVAILABLE WITHOUT INTERRUPTION;
SITE CONTENT WILL BE FREE OF ERRORS; OR
A PRODUCT IS SAFE OR APPROPRIATE FOR HUMAN OR VETERINARY USE.

THIS EXCLUSION INCLUDES, WITHOUT LIMITATION:

LOST PROFITS;
LOST REVENUE;
LOST DATA;
LOSS OF RESEARCH;
LOSS OF SAMPLES;
LABORATORY INTERRUPTION;
REPROCUREMENT COSTS;
REPUTATIONAL HARM;
LOSS OF BUSINESS OPPORTUNITY;
CARRIER DELAY;
THIRD-PARTY MISUSE; OR
UNAUTHORIZED HUMAN OR VETERINARY USE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPINE AMINOS’ TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PRODUCT, ORDER, TRANSACTION, OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO ALPINE AMINOS FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

The limitations in this section apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.

34. ASSUMPTION OF RESPONSIBILITY

You acknowledge that RUO materials require qualified handling and may present known or unknown risks depending on their characteristics, storage, handling, research setting, and use.

You assume responsibility for:

Determining whether a product is appropriate for your lawful research;
Reviewing available product and analytical information;
Conducting appropriate incoming inspection and testing;
Establishing laboratory controls;
Protecting personnel and third parties;
Preventing unauthorized access and diversion;
Complying with applicable requirements; and
Responding appropriately to incidents.

You bear all responsibility for consequences arising from unauthorized, prohibited, negligent, reckless, or unlawful use of a product.

35. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Alpine Aminos and its owners, members, managers, employees, contractors, affiliates, service providers, and agents from claims, demands, investigations, actions, liabilities, losses, judgments, penalties, costs, and reasonable attorneys’ fees arising from or relating to:

Your breach of these Terms;
False or misleading information you provide;
Your purchase, possession, storage, handling, transfer, disposal, or use of a product;
Human or veterinary use;
Resale, redistribution, relabeling, repackaging, or diversion;
Violation of law or institutional requirements;
Infringement of another person’s rights;
Unauthorized use of your account;
Content you submit; or
Injury, loss, or damage caused by your conduct or by a person who receives a product through you.

This obligation does not require indemnification for a claim to the extent finally determined to have resulted solely from Alpine Aminos’ gross negligence, willful misconduct, or other conduct that cannot lawfully be indemnified.

Alpine Aminos may assume control of the defense of a covered matter. You agree to cooperate reasonably and may not settle a covered claim in a manner that admits wrongdoing by or imposes obligations on Alpine Aminos without written consent.

36. GOVERNING LAW

These Terms and any dispute arising out of or relating to the Site, a product, an order, or the relationship between you and Alpine Aminos are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Nothing in this section deprives a consumer of protections that cannot lawfully be waived under the law applicable to that consumer.

37. DISPUTE NOTICE AND INFORMAL RESOLUTION

Before filing a lawsuit relating to these Terms, the Site, or an order, the complaining party should provide written notice describing:

The party’s name and contact information;
The relevant order or account;
The factual basis of the dispute;
The legal or contractual basis asserted;
Supporting documentation; and
The requested resolution.

Notice to Alpine Aminos must be sent to info@alpineaminos.com with the subject line “Legal Dispute Notice.”

The parties agree to make a good-faith effort to resolve the matter informally for at least thirty days after receipt of a complete notice before commencing litigation, unless emergency injunctive relief is reasonably necessary or a legal filing deadline would expire.

38. JURISDICTION AND VENUE

Subject to applicable law, any legal action arising from or relating to these Terms, the Site, a product, or an order must be brought in a state or federal court having jurisdiction in the State of Colorado.

Each party consents to personal jurisdiction in those courts and waives objections based solely on inconvenient forum, except where such consent or waiver is prohibited by law.

This section does not prevent Alpine Aminos from seeking injunctive or protective relief in another jurisdiction to address intellectual-property infringement, fraud, unauthorized system access, diversion, or misuse.

39. TIME LIMIT FOR CERTAIN CLAIMS

To the extent permitted by law, a claim arising from or relating to these Terms, the Site, a product, or an order must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This contractual limitation does not apply where applicable law prohibits shortening the limitations period or establishes a nonwaivable period.

40. FORCE MAJEURE

Alpine Aminos is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:

Natural disasters;
Severe weather;
Fire;
Flood;
Epidemic or public-health emergency;
War;
Terrorism;
Civil unrest;
Government action;
Regulatory change;
Labor disruption;
Transportation interruption;
Carrier failure;
Utility failure;
Internet or telecommunications outage;
Cyberattack;
Supplier interruption;
Laboratory delay;
Material shortage; or
Failure of a third-party service provider.

Alpine Aminos may delay, allocate, cancel, or modify affected performance as reasonably necessary.

41. CHANGES TO THESE TERMS

Alpine Aminos may update these Terms from time to time.

The current version will be posted on the Site with its effective or last-updated date.

Changes apply prospectively from the stated effective date unless applicable law permits otherwise. Material changes will not retroactively alter the terms governing a completed transaction without appropriate notice or consent.

Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms for future Site use. A future purchase may require renewed affirmative acceptance.

You should retain a copy of the Terms applicable when placing an order.

42. PRIVACY

Alpine Aminos’ collection, use, disclosure, retention, and protection of personal information are described in the Privacy Policy published on the Site.

The Privacy Policy is incorporated into these Terms by reference.

Acceptance of these Terms does not by itself constitute consent to optional marketing communications or to data practices for which separate consent is legally required.

43. TERMINATION

Alpine Aminos may terminate or restrict Site access, account access, or purchasing privileges when reasonably necessary to:

Enforce these Terms;
Prevent fraud or abuse;
Address security concerns;
Prevent diversion or misuse;
Comply with legal obligations;
Protect Alpine Aminos or another person; or
Discontinue the Site or a service.

Provisions that by their nature should survive termination will survive, including provisions relating to payment obligations, RUO restrictions, prohibited uses, intellectual property, disclaimers, liability limitations, indemnification, disputes, and governing law.

44. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Alpine Aminos.

Alpine Aminos may assign these Terms in connection with a merger, reorganization, financing, sale of assets, transfer of ownership, or operation of law, subject to applicable legal requirements.

45. SEVERABILITY

If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and modified or severed only to the extent necessary.

The remaining provisions will remain in effect.

46. NO WAIVER

Failure by Alpine Aminos to enforce a provision does not waive that provision or the right to enforce it later.

A waiver is effective only if stated in writing by an authorized representative of Alpine Aminos.

47. NO AGENCY OR THIRD-PARTY BENEFICIARIES

These Terms do not create an employment, agency, partnership, franchise, fiduciary, distributorship, or joint-venture relationship.

Except for Alpine Aminos parties expressly protected by the warranty, liability, and indemnification provisions, these Terms do not create enforceable rights for third-party beneficiaries.

48. HEADINGS AND INTERPRETATION

Section headings are provided for convenience and do not limit the meaning of these Terms.

Words such as “including” mean “including without limitation.”

The singular includes the plural where appropriate, and electronic records are treated as written records to the extent permitted by law.

These Terms will not be interpreted against a party solely because that party participated in drafting them.

49. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund and Returns Policy, Shipping Policy, RUO attestations, product-specific conditions, and any additional terms expressly presented and accepted during a transaction, constitute the entire agreement between you and Alpine Aminos regarding the subject matter they address.

If product-specific or promotion-specific terms conflict with these Terms, the more specific terms govern the relevant product or promotion, except that no separate statement authorizes human or veterinary use.

No customer-service communication modifies these Terms unless it expressly states that it is a contractual modification and is issued by an authorized representative of Alpine Aminos.

Alpine Aminos should retain a record of:

The customer’s affirmative acceptance;
The Terms version or effective date;
The RUO attestation version;

The customer or user ID;
The date and time;
The IP address when lawfully collected; and
Any subsequent verification information associated with the transaction.
